Terms of Service

1. Acceptance of Terms

By accessing or using SkyeCONNEX ("the Service"), operated by SkyeCONNEX Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SkyeCONNEX is a zero-knowledge encrypted cloud storage platform that distributes your files across multiple cloud providers using erasure coding. We provide:

• Client-side encryption and key management
• Reed-Solomon erasure-coded file distribution (RS 5,2)
• Multi-provider cloud storage orchestration
• SkyeVault encrypted password and secrets management
• SkyeMap geographic data visualization
• SkyeGXU on-premise AI embedding services
• SkyeDATA database backup and monitoring

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your password and User Master Key (UMK). You are responsible for all activities that occur under your account.

4. Zero-Knowledge Architecture

SkyeCONNEX uses a zero-knowledge encryption model. Your files are encrypted on the client side before being uploaded. We do not have access to your encryption keys or the unencrypted content of your files. If you lose your password and recovery key, we cannot recover your data.

5. Subscription and Billing

• Free tier accounts are subject to storage and feature limitations as described on the Subscription page.
• Paid subscriptions are billed monthly or annually as selected.
• You may upgrade, downgrade, or cancel your subscription at any time.
• Refunds are handled on a case-by-case basis within 30 days of purchase.
• We reserve the right to modify pricing with 30 days' notice.

6. Acceptable Use

You agree not to use the Service to:

• Store or distribute content that violates applicable law
• Attempt to circumvent security measures or access other users' data
• Use the Service for cryptocurrency mining, spam, or denial-of-service attacks
• Resell the Service without a valid reseller agreement
• Upload malware or content intended to harm other users or systems

7. Data Storage and Providers

Your encrypted file shards are distributed across the cloud storage providers you configure (Connexions). We are not responsible for the availability or data handling practices of third-party providers (Dropbox, Google Drive, OneDrive, AWS S3, Azure, etc.). You are responsible for maintaining your own provider accounts and API credentials.

8. Data Retention and Deletion

• Deleted files are moved to Trash and permanently purged after your configured retention period (default 30 days).
• Upon account deletion, all your data, encryption keys, and metadata will be permanently removed within 30 days.
• We retain audit logs for security compliance for up to 90 days after account deletion.

9. Intellectual Property

The Service, including its design, codebase, branding, and documentation, is the intellectual property of SkyeCONNEX Inc. You retain full ownership of all content you upload to the Service.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Reseller Terms

If you operate as a SkyeCONNEX Reseller or Managed Service Provider (MSP):

• You are responsible for your end customers' compliance with these Terms.
• You may apply custom branding but must not misrepresent the nature of the Service.
• Billing arrangements between you and your customers are your responsibility.

12. Termination

We may suspend or terminate your account for violation of these Terms with notice. You may terminate your account at any time from the Settings page. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance.
